P38 wont start cranking

Hi everyone,
My car 1996 P38 4.0
Driving on the Hwy just stall. Feel like run out of gas. It happened once before, but after 3-4 hours start with no problem.
Now it is dead. Since then i changed Crankshaft sensor, fuel pump, fuel pressure regulator.
There is a spark and fuel coming to cylinders. What the hell is wrong.
There was a code Vehicle speed sensor circuit out of range, but i don't think this will cause no start condition.

a fellow LR owner sent me an email and saing - VSS is input for IACV and if its out of range, the EMS, or more specifically the engine control module (ECM) usually shuts down the engine:

The ECM in turn detects vehicle movement from the road speed input and ensures that idle air control mode is disengaged. Should the vehicle speed sensor fail in service the ECM idle air control would become erratic. The sensor also provides road speed data to the electric speedometer and cruise control ECU."
